/01 Acceptance of Terms

JKG Solutions (Pty) Ltd (registration number 2023/919543/07), referred to as "JKG Solutions", "we", "us", or "our", is a private company incorporated under the laws of South Africa.

By accessing our website at jkgsolutions.co.za or engaging JKG Solutions for any of our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or engage our services.

These terms apply to all visitors, enquirers, and clients. JKG Solutions reserves the right to update these terms at any time. Continued use of the website or our services after changes are published constitutes acceptance of the updated terms.

/02 Our Services

JKG Solutions provides the following digital services to businesses:

• Website Creation - custom design and development of websites
• Website Management - ongoing maintenance, updates, and monitoring
• Conversion Rate Optimisation (CRO) - improving website performance to increase conversions
• Growth Marketing - digital marketing strategies to grow online presence

The specific scope of services, deliverables, and timelines for each project are agreed upon in writing prior to commencement of work. Anything not explicitly included in the agreed scope is considered out of scope and may be quoted separately.

/03 Client Engagement

A project begins once both parties have agreed on the scope, pricing, and timeline - confirmed in writing via email or a formal proposal. Verbal agreements alone do not constitute a binding engagement.

Clients are responsible for:

• Providing all required content, assets, and information in a timely manner
• Reviewing and approving deliverables within agreed timeframes
• Designating a single point of contact for the project
• Communicating feedback clearly and constructively

Delays caused by the client (such as late content delivery or slow approvals) may result in revised timelines and are not the responsibility of JKG Solutions.

/04 Payment Terms

Payment terms are as follows:

• Once-off projects: a deposit of 50% is required before work begins. The remaining 50% is due upon project completion, before final files or website access are handed over.
• Monthly retainer services: invoiced monthly in advance. Payment is due within 7 days of invoice date.
• Late payments: accounts more than 14 days overdue may result in suspension of services until payment is received.

All prices are quoted in South African Rand (ZAR). JKG Solutions (Pty) Ltd is not currently registered for VAT, and VAT is therefore not applicable to invoices issued.

Quoted prices are valid for 30 days from the date of the proposal. After 30 days, quotes may be subject to revision.

/05 Intellectual Property

Upon receipt of full and final payment, ownership of the final website design and code created specifically for the client is transferred to the client.

The following remain the property of JKG Solutions at all times:

• Proprietary frameworks, tools, scripts, and processes used in delivering the project
• Work in progress and draft deliverables until full payment is received
• Any work produced for projects where payment has not been made in full

JKG Solutions reserves the right to display completed work in our portfolio and marketing materials unless the client requests otherwise in writing.

/06 Client Content

By providing content (text, images, logos, videos, or other materials) to JKG Solutions for use in your project, you confirm that:

• You own the content or have the legal right to use it
• The content does not infringe on any third-party intellectual property rights
• You grant JKG Solutions a licence to use the content solely for the purpose of completing your project

JKG Solutions accepts no liability for any legal claims arising from client-provided content.

/07 Limitation of Liability

JKG Solutions provides services to the best of our ability and in good faith. However, to the maximum extent permitted by South African law:

• We are not liable for any indirect, incidental, or consequential losses arising from the use of our services or website
• Our total liability to any client shall not exceed the total fees paid by that client for the relevant project or service
• We do not guarantee specific business outcomes, search engine rankings, or conversion rates from our services
• We are not responsible for third-party service outages (such as hosting providers, domain registrars, or payment processors)

Results such as increased traffic, leads, or revenue are influenced by many factors outside our control and cannot be guaranteed.

/08 Termination

Monthly retainer services may be cancelled by either party with 30 days written notice. The client remains liable for any fees owed up to the end of the notice period.

Once-off projects that are cancelled after work has commenced will be invoiced for all work completed to the date of cancellation. The deposit is non-refundable.

JKG Solutions reserves the right to terminate a client engagement immediately if the client:

• Fails to make payment within the agreed terms
• Acts in a manner that is abusive, threatening, or unlawful
• Requests work that is illegal, fraudulent, or unethical

/09 Website Use

By using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorised access to any part of the website or its systems
• Transmit any harmful, offensive, or malicious content through our contact forms
• Copy, reproduce, or redistribute any content from our website without written permission

Our website is provided "as is". We make no warranties regarding its availability, accuracy, or fitness for a particular purpose. We may update or take down the website at any time without notice.

/10 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the South African courts.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
